Terms of Service
Last updated: 28 September 2026
These Terms cover what you can expect from Invoicer, what we expect from you, and who carries which risk. The clauses most worth your time are what Invoicer does not do (it is software, and your invoices and your VAT remain your responsibility) and online payments (the money goes to your own Stripe account, never through us).
1. Who these Terms are between
These Terms of Service (the “Terms”) are a binding agreement between the business you act for (“you”, “your”) and Oxus Technologies Limited, a company registered in Ireland under company number 818468, with its registered office at Greenhills Road, Walkinstown, Dublin 12, D12 DX80, Ireland (“we”, “us”, “our”). They govern your use of Invoicer, including the website at www.invoicer.ie, the web application and the emails it sends.
Invoicer is sold to businesses only: companies, partnerships and sole traders acting in the course of their business. By creating an account, or by using Invoicer under an account someone else has invited you to, you accept these Terms on behalf of that business and confirm you are authorised to bind it.
Our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, Refund and Cancellation Policy and Cookie Policy form part of this agreement.
2. What Invoicer does, and what it does not do
Invoicer is software. It lets you keep your clients and contractors in one place, draw up and send VAT invoices and credit notes, run self-billing under section 71 of the VAT Consolidation Act 2010, have contracts and agreements signed online, record payments and export your records.
Invoicer is a software tool, not a party to your dealings. We are not a party to any invoice, contract, self-billing agreement or other agreement made between users of Invoicer. We are not anyone's employer. We do not give legal, tax or accounting advice, and nothing Invoicer shows you is advice.
You remain responsible for:
- the VAT treatment of every invoice, including the rate, any reverse charge and any exemption;
- the accuracy of the figures, parties and descriptions on your invoices;
- your compliance with Revenue requirements, including filing and paying VAT;
- where you self-bill, meeting the conditions of section 71 (a prior agreement, and a procedure for the supplier to accept each invoice). Invoicer provides the tools to do that; whether you use them correctly is up to you;
- keeping your own records for as long as the law requires. Irish VAT law requires a business to keep its invoices, including self-billed invoices, for at least six years. That obligation is yours, not ours: Invoicer lets you export your invoices and records at any time so you can keep your own copies.
We may add, change or withdraw features. Where a change materially reduces the functionality of a paid plan you are on, we will give you reasonable notice by email and you may cancel.
3. Accounts, team members and roles
The person who creates an account must be at least 18 and give accurate details about themselves and the business. You are responsible for everything done under your account and for keeping login credentials secret. Tell us at info@oxus.ie as soon as you suspect unauthorised access.
An account belongs to the business, not to any one person. On plans that allow more than one user, an owner can invite team members and give each a role:
- Owner: full access, including signing contracts and agreements for the business, the subscription, and the team itself.
- Finance: raise, approve and issue invoices, record payments, and manage clients and engagements, but not sign, change the plan or change the team.
- Viewer: read-only.
You are responsible for everyone you invite, for what they do in the account, and for removing their access when they leave. Anything a team member does within their role is done on behalf of your business. Data they entered stays with the account when they are removed.
4. Your data, and your customers' personal data
You keep ownership of everything you put into Invoicer. You grant us only the licence needed to host, process, back up and display it in order to run the service for you, and to send the emails you ask it to send.
Where your records include personal data about other people, such as your clients, suppliers, contractors and their contacts, you are the data controller and we act as your processor. The terms of that processing are set out in our Data Processing Agreement, which forms part of these Terms. In particular, you must have a lawful basis for the personal data you enter, and you must tell the people concerned that you hold it.
Customer data is stored in Ireland (AWS eu-west-1). Our Privacy Policy explains the rest, and our sub-processor list names every third party involved.
5. Plans and limits
Invoicer has a Free plan and paid plans (Starter €19, Pro €59 and Business €99 a month). All prices exclude VAT. The current plans, prices and limits are on our pricing page.
Each plan limits the number of clients and contractors you are actively working with at once (active engagements) and the number of users. When you reach a limit you will not be able to add more until you upgrade or end an engagement.
Hitting a limit never deletes anything. Existing clients, contractors, invoices and records stay in your account and stay visible; the limit only stops new ones being added.
6. Fees, billing and VAT
Paid plans are charged in euro, monthly in advance, through our payment processor Stripe, and renew automatically each month until cancelled.
- Prices exclude VAT. Irish VAT is added where it applies. If you are a VAT-registered business in another EU member state, the reverse charge applies where the conditions are met and you account for the VAT yourself; give us your VAT number so we can apply it.
- Our invoices to you are issued by Oxus Technologies Limited, VAT number IE4756195AH, and are available from the billing portal.
- Failed payments: Stripe will retry the payment and we will email you. If it stays unpaid, your account moves to the Free plan. Your data is not deleted.
We may change our prices. Existing subscribers will get at least 30 days' notice by email before a change applies to them, and may cancel before it takes effect.
7. Changing plan
- Moving to a different paid plan takes effect straight away. Stripe prorates the difference onto your next bill.
- Choosing Free in the app cancels your paid subscription straight away. There is no prorated refund for the rest of the month or year you have paid for.
- Cancelling from the billing portal keeps your paid plan until the end of the period you have already paid for. After that the account moves to Free.
8. Cancellation and refunds
You can cancel at any time from Plans and billing in your account, or by emailing info@oxus.ie. We do not refund partial months, partial years or unused time, except in the cases set out in our Refund and Cancellation Policy, such as a duplicate or mistaken charge.
Because Invoicer is sold to businesses, the consumer cooling-off rights under EU and Irish consumer law do not apply. Nothing in these Terms affects any statutory right that cannot be excluded.
9. Custom contract scan credits
On plans that do not include custom contract uploads, you can buy a one-off credit to have a contract of your own read and prepared for signing. A credit is a single purchase, not a subscription, and is used up by one successful upload. If a scan fails, the credit is returned to you. Refunds of unused credits are covered in the Refund and Cancellation Policy.
10. Online payments and Stripe Connect
Invoicer can let your customers pay your invoices online by card or SEPA Direct Debit. Those payments are processed by Stripe on your own connected Stripe account, under Stripe's Connected Account Agreement, which you accept with Stripe when you connect. The money goes from your customer to your Stripe account and from there to your bank.
We never hold your money. Oxus Technologies Limited is not a payment institution, does not receive payments made to you, and is not a party to them. The one exception is the business that owns the Invoicer platform account itself, which collects on that account.
- Stripe charges its own processing fees on those payments. They are set and charged by Stripe, not by us.
- Refunds, disputes and chargebacks on those payments are between you, your customer and Stripe.
- If you choose bank transfer as the way to pay, no Stripe is involved at all: your customer pays your bank account directly and you record the payment.
11. Subscriptions you sell to your customers
Invoicer can bill your customers on a recurring basis. When you use this feature, you are the seller, not us. You are responsible for the terms you agree with your customers, for telling them what they are signing up to and how to cancel, for handling their cancellations and refunds, and for the VAT on what you sell. We provide the software that raises the invoices and takes the payments on your behalf.
12. Acceptable use
You must use Invoicer lawfully and for genuine business. In short: no fake or fraudulent invoices, no VAT fraud, no impersonating another business, no spam sent through invoice emails, and no attempts to break or overload the service. The full list is in our Acceptable Use Policy, and breaching it is a breach of these Terms.
13. Availability and support
We use reasonable efforts to keep Invoicer available and working, but we do not offer a service level agreement or commit to a specific uptime figure. The service may be unavailable during maintenance or because of a failure at one of our providers.
Support is provided by email at info@oxus.ie during Irish business hours.
14. Intellectual property
Invoicer, its software, design, branding, templates and content are owned by Oxus Technologies Limited and protected by intellectual property law. We grant you a non-exclusive, non-transferable right to use the service under these Terms for as long as your account is in good standing. Nothing more is transferred to you.
If you send us feedback or a feature suggestion, we may use it freely and without obligation to you. We will never publish your data or name you as a customer without your consent.
15. Suspension and termination
You may stop using Invoicer and close your account at any time. We may suspend or terminate an account that does not pay, that materially breaches these Terms or the Acceptable Use Policy, or whose use threatens the security or stability of the service. Except where the breach is serious or unlawful, we will give you notice and a chance to put it right first.
After termination we keep your data for 30 days so you can export it, then delete it. Copies in our backups are removed as those backups rotate out, and we may keep data for longer where the law requires it or where it is subject to a legal hold. Export your invoices and records before then: Irish VAT law requires a business to keep its invoices, including self-billed invoices, for at least six years. That obligation is yours, not ours: Invoicer lets you export your invoices and records at any time so you can keep your own copies.
16. Disclaimers
To the fullest extent the law allows, Invoicer is provided “as is”. We do not warrant that it will be uninterrupted or error-free, that information from third parties (such as company or VAT number lookups) will be accurate, or that using it will make any invoice, agreement or return correct or compliant. We exclude all implied warranties except those that cannot lawfully be excluded.
17. Limitation of liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under Irish law.
Subject to that, and to the fullest extent permitted by law:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings;
- we are not liable for tax, interest, penalties or surcharges arising from the figures, rates, parties or VAT treatment you entered or approved;
- our total aggregate liability arising out of or in connection with these Terms is capped at the total fees you paid us in the twelve months before the event giving rise to the claim.
18. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your breach of these Terms or the Acceptable Use Policy, from invoices or documents you issue through Invoicer, from data you put into it that you had no right to hold, or from your failure to meet your own obligations as data controller.
19. Changes to these Terms
We may update these Terms as the product and the law change. The “last updated” date at the top always reflects the current version. For material changes we will tell you by email or in the app before they take effect. Continuing to use Invoicer after that means you accept the revised Terms; where we ask you to accept them again at your next sign-in, you will need to do so to keep using the service. If you do not accept a change, you may cancel.
When you sign up, you accept a versioned platform terms document, and we record which version you accepted, when, and by whom.
20. General
- Entire agreement: these Terms, with the documents they incorporate, are the whole agreement between us on this subject.
- Severability: if a clause is held unenforceable, the rest continues to apply.
- No waiver: not enforcing a right straight away does not waive it.
- Assignment: you may not assign these Terms without our consent. We may assign them to a successor of our business, on notice to you.
- No partnership: nothing in these Terms creates a partnership, joint venture, agency or employment relationship between us.
- Force majeure: neither party is liable for a failure caused by events genuinely outside its reasonable control.
21. Governing law
These Terms and any dispute arising from them are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
