Independent Contractor Agreement

INDEPENDENT CONTRACTOR AGREEMENT This Agreement is made on 2026-06-01 between: (1) Liffey Logistics Ltd, of 14 Custom House Quay, Dublin 1 D01 X2P3, IE (the "Client"); and (2) Aoife Ní Bhraonáin, of 27 Marlborough Road, Donnybrook, Dublin 4 D04 K1F8, IE, tax reference 1234567T (the "Contractor"). 1. STATUS. The Contractor is an independent contractor and not an employee, worker, agent or partner of the Client. Nothing in this Agreement creates an employment relationship. The Contractor is responsible for their own tax and social insurance. 2. SERVICES. The Contractor will provide the services agreed between the parties from time to time, exercising reasonable skill and care and to a professional standard. 3. FEES & INVOICING. The Client will pay the Contractor the agreed fees against valid invoices. Where the parties operate self-billing, invoices are raised under a separate self-billing agreement and Revenue s71 (VATCA 2010). 4. VAT. The Contractor's VAT-registration status is: Yes (VAT number IE9876543B). The Client's VAT number is IE3456789AH. 5. CONFIDENTIALITY. Each party will keep the other's confidential information private and use it only to perform this Agreement. 6. TERMINATION. Either party may terminate on reasonable written notice. Accrued fees for services performed remain payable. 7. GOVERNING LAW. This Agreement is governed by the laws of Ireland.
